Terms of Service

1. Acceptance of Terms

These Terms of Service are a legally binding agreement between you and Vertex Core LLC ("we," "us," or "our"), doing business as TransferNode. By uploading files, opening a download link, creating an account, buying a plan, or using any part of our website or Android app (the "Service"), you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and our Copyright & Abuse Policy. If you do not agree, do not use the Service.

2. The Service

TransferNode lets you upload files and share them through a link that expires. Files are uploaded directly to our cloud storage provider and are available only until the link expires or the files are deleted, whichever happens first. TransferNode is a file transfer service, not a backup or long-term storage service.

3. Eligibility and Accounts

• Age: You must be at least 13 years old (or the minimum age required in your country, such as 16 in parts of the European Union) to use the Service, and at least 18 years old, or have a parent or guardian's permission, to buy a paid plan.
• Accounts: The Free plan works without an account. Paid plans require an account, which you sign into with a one-time code sent to your email address. You are responsible for keeping access to that email address secure and for everything done through your account.

4. Plans, Billing and Renewal

• Free plan: The Free plan is supported by advertising. Before a share link is created, you watch one short rewarded ad, or two for transfers over 2 GB. Free use is subject to size, file-count, expiry and daily limits shown on our website. Some Free transfers, such as those containing programs or web page files, may require you to confirm your email address with a one-time code before sending.
• Paid plans: Paid plans (currently Starter, Pro and Ultimate) are billed in advance, monthly or yearly, through our payment processor, Stripe. They renew automatically at the end of each billing period until you cancel.
• Storage add-ons: Paid subscribers may add extra storage. An add-on is billed together with your plan; when you add or change one, the prorated difference for the rest of the current period is charged immediately. When you remove one, the unused portion is credited to your next invoice. You cannot reduce your storage below the amount your current files use.
• Plan changes: When you switch plans, the difference for the rest of the current billing period is charged or credited immediately.
• Taxes: Prices may not include sales tax, VAT or similar taxes, which may be added at checkout where required.

5. Cancellation and Refunds

You can cancel at any time from your account page ("Manage billing"). Cancellation takes effect at the end of the current billing period, and you keep your plan until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused storage, or unused time. If you believe you were charged in error, contact us at within 30 days of the charge.

6. Downgrades and Expired Plans

If your paid plan ends or you move to a smaller plan, transfers you already sent stay online until their links expire, and new transfers use the limits of your new plan. If a payment fails, we may keep your plan active for a short grace period before it reverts to the Free plan.

7. Your Files and Content

• Ownership: You keep all rights to the files, titles and messages you upload ("Your Content"). We claim no ownership of Your Content.
• License to us: You grant us a limited, worldwide, non-exclusive license to store, copy, transmit and display Your Content only as needed to operate the Service, which includes delivering it to anyone who has the share link (and password, if you set one).
• Your responsibility: You confirm that you own Your Content or have every right, license and permission needed to upload and share it, and that sharing it does not break any law or anyone else's rights. You are responsible for who you share your links with: anyone who has a link can download its files until it expires.

8. Link Expiry, Deletion and No Backup

Files are deleted automatically after their link expires, and may be deleted earlier if you delete the transfer, if your account is closed, or if we remove them under our policies. Once deleted, files cannot be recovered. Keep your own copies of anything important: we do not keep backups of your files and we are not responsible for lost, deleted, corrupted or unavailable files.

9. Advertising

The Free plan and links sent from the Free plan show advertising provided by Google and its partners. You agree not to block, skip, automate, fake or otherwise interfere with ads, including by using tools that click or view ads automatically. Our website may ask you to turn off an ad blocker before using the Free plan. Paid plans remove ads for you and for the people you send files to. We block harmful ad categories (adult content, gambling, get-rich-quick schemes, and drugs and supplements) in our ad partners' settings and limit our Android app to family-friendly ads. If you see an inappropriate or misleading ad, use "Report this ad" under it and we will block that advertiser.

10. Acceptable Use and Copyright

Your use of the Service must follow our Acceptable Use Policy and our Copyright & Abuse Policy, which are part of these Terms. We may remove files, disable links, and suspend or close accounts that break them.

11. Our Intellectual Property

We keep all rights, title and interest in the Service, including its software, design, branding, and the TransferNode name and logo. These Terms do not give you any right to use our trademarks.

12. Third-Party Services

The Service relies on third parties, including Backblaze (file storage), Cloudflare (website hosting), Supabase (accounts), Stripe (payments) and Google (advertising). We are not responsible for outages, errors or other failures caused by these providers. Their own terms may also apply to you, for example Stripe's terms when you pay.

13. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, upload or download speed, or that files will be delivered or stored without error. 14. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, files, profits, revenue or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US $50.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms or our policies, or your violation of anyone else's rights, including copyright and privacy rights.

16. Suspension and Termination

We may suspend or terminate your access, disable links and delete files at any time, without prior notice, if we reasonably believe you have broken these Terms or our policies, if required by law, or to protect the Service or other users. You may stop using the Service and close your account at any time by contacting us.

17. Changes to the Service and These Terms

We may change the Service, our plans, prices, limits or these Terms. We will give existing subscribers reasonable advance notice of material changes, for example by email. Continuing to use the Service after a change takes effect means you accept it.

18. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Nothing in these Terms removes consumer protections you have under the mandatory laws of the country where you live.
